Terms
In consideration for the Sponsor’s contribution, the Town of Jupiter agrees to provide the sponsor with the specified level and contribution as described in Sponsorship Opportunities Brochure (www.jupiter.fl.us), which is incorporated by reference herein. The Town of Jupiter may adjust such benefits, substitute benefits or provide other benefits with the approval of the sponsor. The Sponsor agrees with the general terms of the sponsorship benefits, and certifies that the sponsor does not fall into one of the following categories (check beside each one):
A religious organization seeking membership (subject to review, sponsorships may be accepted from religious organizations for purposes of educating the general public on services offered if they are offered to the community at large).

A political organization, political candidate or political lobbyist.

An organization or individual with business coming before Town Council, or its appointed commissions, boards, or committees within 12 months of signing the sponsorship agreement (including any organizations who intend to bid on upcoming RFP’s or RFQ’s issued by the Town). If a Sponsor determines that it has business coming before the Town or its boards and committees after already committing to a sponsorship, the sponsor is obligated to report it to the Town immediately, and sponsorship money will be refunded, and the sponsorship agreement voided.

Payment. The Sponsor’s contribution shall be paid by check, online credit card payment or money order within 30 days of the execution this agreement. If payment is not made within 30 days, the agreement is automatically cancelled.

Limitation of Sponsorship. Unless otherwise provided, the cash or services and the sponsor benefits described in this agreement are related solely to the event being sponsored and its corresponding dates and timeframes, and does not extend to other Town events or promotional activities.

License and Usage. Sponsor hereby grants the Town of Jupiter a limited, non-exclusive license to use the sponsor's trade names, trademarks, service marks and other proprietary information owned by the sponsor for purposes of communicating the sponsorship and marketing sponsored events. The Town of Jupiter may use the sponsor’s trade names and marks in marketing efforts online, in print, and in outdoor advertising and signage, in accordance with the sponsorship benefits.

Termination. The Town of Jupiter reserves the right to terminate a sponsorship agreement for the following reasons: Failure by the sponsor to make payment within 30 days of signed agreement; Failure by the sponsor to report status as a political candidate, political organization, or political lobbyist; Failure by the sponsor to report business that is coming before any of the Town’s boards or committees within 12 months of signing this agreement; or For any other reason that the Town, in its sole direction, determines may be detrimental to the success of the event which is the subject of the agreement.

Amendments. This agreement may only be amended by a written instrument executed by both parties hereto.

Miscellaneous. This agreement is governed by Florida law and is binding upon all of the parties' successors and assigns. Venue for any litigation pertaining to this agreement shall be in the 15th Circuit Court in and for Palm Beach County, Florida, or the United States District Court, Southern District of Florida.

Florida has a very broad public records law. Under Florida law, e-mail addresses are public records. The Town makes every effort to protect individual privacy, but may be compelled to provide email addresses in some circumstances under Florida law.
